In Windows 7, create a new user account with admin rights.
Log off of your current account and log into the newly created user account.
Once logged in, reinstall vmware tools.
While there are times creating a new User Account is a valid step along the diagnostic tree nonetheless I do not see it as such at this moment since the second occurrence of vmtoolsd.exe is not running and this is initiated from HKEY_LOCAL_MACHINE... not HKEY_CURRENT_USER...! Also reinstalling VMware Tools again is not necessary as the proper entry for the second occurrence of vmtoolsd.exe in the Windows Registry as it's supposed to be.
So Dave before trying what avanish is suggesting lets try and diagnose why a second occurrence of vmtoolsd.exe isn't loading. Not saying this should not be tried, just wait until you do as suggested in
