I have another  ESXi at 4.0.0, 171294 running at that site and it can also access the shared storage that the 4.1 server can.

Basically you should be able to run the vCenter Server on the 4.0 host. So what I would do is:

• ensure you can connect to both hosts using the vSphere Client
• power off vCenter Server on the 4.1 host
• take a snapshot of the vCenter Server VM (just in case...)
• add the vCenter Server to the inventory of the 4.0 host and power it on
• use Update manager to update the 4.1 host
• power off the vCenter Server and remove it from the 4.0 host's inventory
• power on the vCenter Server VM on the updated 4.1 host
• if everything looks ok, delete the snapshot
